6. Ordering 1UP Codes
Your attention is drawn to clause 6.8, which prohibits you from cancelling orders after delivery of Order Confirmation.
- 6.1 You acknowledge that prices of items purchased with a 1UP Code may vary from time to time and that we cannot guarantee any specific availability or prices in advance. We may also not always be able to give you access to all of the items in our total 1UP Codes inventory.
- 6.2 1UP Codes offered for sale as part of a “limited” or “special” offer are made subject to additional restrictions including, without limitation, per-client volume caps, restricted expiry-length setting and restricted rebranding/white-labelling options. These shall be communicated to you separately from time to time.
- 6.3 We reserve the right to impose restrictions and creative control in your use of 1UP Codes, including in respect of how our third-party brand partners are to be displayed, distributed and described by you. Unless otherwise agreed, you are not permitted to re-sell 1UP Codes.
- 6.4 You must follow the instructions on the Platform to create and order 1UP Codes.
- 6.5 You will be asked to provide certain information to allow us to process your order. Please note that for certain 1UP Codes you will be required to complete a Know Your Customer (“KYC”) verification process. We will not be able to process your order for such 1UP Codes until KYC approval has been obtained. We will provide you with the necessary information regarding the KYC process and any other compliance requirements at the time you place your order.
- 6.6 You will receive an order confirmation on screen acknowledging that we have received your order. Your order represents an offer to us to purchase 1UP Codes.
- 6.7 We may reject your order for any reason prior to our acceptance of it. We may also impose delays in this acceptance, pending further information being provided to allow us to make a decision as to whether we can confirm acceptance of an order.
- 6.8 We will confirm our acceptance of an order via your Account (“Order Confirmation”) and an amount equivalent to the purchase price of your order will be deducted from your credit or debit card, or the available balance in your Account – as elected by you when placing your order. Please note, after the Order Confirmation has been issued, your order is deemed legally binding and you are not permitted to cancel the order and obtain a refund of the purchase price paid.
- 6.9 Our acceptance of an order is subject to any specific Supplier Conditions detailed on the Platform and may be subject to specific additional conditions (together “Supplier Conditions”). Such conditions shall be in writing.
- 6.10 The redemption of 1UP Codes is subject to the redemption terms and conditions applicable to the 1UP Codes you have ordered, including any expiry date for redemption and any exclusions from redemption (“Redemption Terms”). The applicable Redemption Terms will be displayed at checkout before you complete your order. By placing your order you accept the Redemption Terms so displayed.
7. Distributing 1UP Codes
- 7.1 1UP Codes are delivered as links and it is your responsibility to distribute them to your chosen Recipients by whichever method is most appropriate.
- 7.2 Where available, you may also distribute 1UP Codes by email via the Platform to your chosen recipients (each a “Recipient”).
- 7.3 You are solely responsible for ensuring that the Recipient contact details you provide or enter are accurate. Once a 1UP Code has been distributed to a Recipient (whether by you or via the Platform), it cannot be recalled, cancelled or reissued, and we shall have no liability for any 1UP Code sent to contact details incorrectly provided by you or your Permitted Users.
- 7.4 You shall ensure that any message or content you distribute via the Platform is lawful, accurate and appropriate, and does not contain material that is defamatory, obscene, offensive, discriminatory or infringing of any third party's rights, and is not unsolicited marketing.
8. Unredeemed 1UP Codes
- 8.1 If a Recipient fails to redeem a 1UP Code before the expiry date set out in the applicable Redemption Terms, you acknowledge and accept that you are not entitled to a refund of amounts paid for such unredeemed 1UP Code.
9. Payment
-
9.1 In order to purchase 1UP Codes, you may either:
- 9.1.1 pay using your credit or debit card. All payments by credit or debit card need to be authorised by the relevant card issuer; or
- 9.1.2 use the funds in your Account to cover the total purchase price of the 1UP Codes you wish to order.
- 9.2 You authorise us and our third-party payment provider (Stripe.com, or such other payment provider as we may choose to engage from time to time) to take payments and/or charge your payment card for the relevant amounts by continuous payment authority. If your payment details change, your card provider may provide us with updated card details. We may use these new details for your future orders in order to help prevent any interruption to the service.
- 9.3 Upon topping up your Account or placing orders for 1UP Codes, a transaction may be sent to your bank to authorise or re-authorise it and prevent fraud. This transaction will either be for a zero value, or for a £1 payment which will be taken and then immediately voided. It is possible that your bank may temporarily register a £0 or £1 charge on your account balance. You agree not to hold us responsible for banking charges incurred due to payments on your Account.
- 9.4 All amounts payable under this Agreement are exclusive of VAT, which shall be added at the applicable rate where chargeable.

- 10.1 In this clause 10, “Data Protection Legislation” means the UK GDPR, the Data Protection Act 2018 and the Privacy and Electronic Communications (EC Directive) Regulations 2003, in each case as amended or replaced from time to time; and “controller”, “processor”, “personal data”, “processing” and “data subject” have the meanings given to them in the Data Protection Legislation.
- 10.2 We process personal data relating to you and your Permitted Users as a controller, in accordance with our Privacy Notice. Our Privacy Notice describes how we handle the information you provide to us when you use our Platform, and must be read before using the Platform.
- 10.3 We will collect personal information relating to you and your Permitted Users when you create an Account, use the Platform, contact us electronically or use any of the products, services, facilities or tools offered by us on the Platform. We use this information for our own internal records, to process and fulfil your orders, to let you know the status of your orders, to address any queries regarding your orders, and to send you updates about your Account and the Services.
- 10.4 We may use your and your Permitted Users' contact details to send service messages that are important to the administration of the Platform and the Services. We and our affiliated companies may also send messages relating to products, rewards and promotions, and may use information you provide for market research purposes. These messages may be sent in various formats, including email and text message. You and your Permitted Users may unsubscribe from marketing messages at any time by contacting us as set out in clause 20 or by using the unsubscribe option in the relevant message.

- 10.6 We reserve the right to monitor use of the Platform to ensure compliance with this Agreement, and to monitor, review, retain and/or disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request. Calls to and from our support team may be monitored and/or recorded for training and security purposes.
- 10.7 Where we transfer personal data outside the UK or the EEA, we will ensure the transfer is subject to appropriate safeguards in accordance with the Data Protection Legislation.
- 10.8 You and your Permitted Users have rights under the Data Protection Legislation in respect of the personal data we hold as a controller, including the rights of access, rectification and erasure, as described in our Privacy Notice. Requests can be made by contacting us as set out in clause 20; we will correct any data found to be incorrect promptly. Please note that certain personal data is required in order to use the Platform, and a request for its deletion may mean that you or the relevant Permitted User can no longer access the Platform and Services.
- 10.9 In respect of personal data relating to Recipients which you provide to us or upload to the Platform (including names, email addresses, telephone numbers, personal messages and redemption data) (“Recipient Data”), the parties acknowledge that you are the controller and we are your processor.
- 10.10 As your processor, we shall: (a) process Recipient Data only on your documented instructions, which include the instructions set out in this Agreement (to distribute 1UP Codes, to send emails to Recipients on your behalf and to provide redemption reporting), unless required to do otherwise by law, and inform you if, in our opinion, an instruction infringes the Data Protection Legislation; (b) maintain records of our processing activities; (c) ensure that persons authorised to process Recipient Data are subject to appropriate obligations of confidentiality; (d) implement appropriate technical and organisational measures to safeguard Recipient Data against unauthorised access, loss, damage or destruction (e) taking into account the nature of the processing, assist you (at your cost) in responding to requests from data subjects and in complying with your obligations under Articles 32 to 36 of the UK GDPR (security, breach notification and data protection impact assessments), insofar as our involvement is reasonable; (f) notify you without undue delay after becoming aware of a personal data breach affecting Recipient Data and provide the information necessary for reporting; (g) at your choice, delete or return Recipient Data on termination of this Agreement, save to the extent retention is required by law; and (h) allow you to conduct reasonable data protection audits and make available to you information reasonably necessary to demonstrate compliance with this clause 10.
- 10.11 You warrant that: (a) you have complied with the Data Protection Legislation in collecting and providing Recipient Data to us; (b) you have a lawful basis for our processing of Recipient Data as contemplated by this Agreement; and (c) where 1UP Codes are distributed by email via the Platform, you have the right (including, where required, appropriate consents) for the Recipients to be contacted in that way.
11. Intellectual property rights
- 11.1 We are the owner or the licensee of all Intellectual Property Rights in the Platform (including the material published on it). Save for the limited licence to access the Platform in clause 4.1, no Intellectual Property Rights in or to the Platform (or any material on it) are granted to you.
- 11.2 To the extent that the Customer's or any Permitted User's use of the Platform results in any modifications, adaptations, developments, or any derivative works of or to the Platform or the Services (“Improvements”), any and all Intellectual Property Rights in and to such Improvements shall immediately vest in and be owned by us.
- 11.3 In the event the Customer or any Permitted User provides us with any suggestions, ideas, improvements or other feedback with respect to any aspect of the Platform or Services (“Feedback”), the Customer hereby assigns and shall cause all Permitted Users to assign to us all right, title and interest in and to such Feedback, including all Intellectual Property Rights therein, and acknowledges that we shall own such Feedback.
